| MACON MIDDLE SCHOOL
The name of this organization shall be the Macon Middle School PTO of Franklin, NC.
The organization exists as an unincorporated organization of its members. Its "Articles of Organization" comprise these bylaws as from time to time amended. In the absence of separate articles of organization, the bylaws shall be deeded to be the articles of organization.
The objects (purposes) of the organization are: 1. To bring into closer relation the home and the school, that parents and teachers may cooperate intelligently in the education of children. 2. To develop between educators and the general public such united efforts as will secure for all children the highest advantages in physical, mental, social and character education. 3. To be organized exclusively for the charitable, scientific, literary, or educational purposes within meaning of section 501 (c)(3) of the Internal Revenue Code or corresponding Section of any future Federal Tax code (hereinafter "Internal Revenue Code").
The following are the basic policies of the organization: 1. The organization shall be noncommercial, nonsectarian, and nonpartisan. 2. The name of the organization or the names of any members in the official capacities shall not be used to endorse or promote a commercial or political concern or in connection with any partisan interest or for any purpose not appropriately related to promotion of the Objects of the organization. 3. The organization shall not, directly or indirectly, participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office; or devote more than an insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise. 4. The organization shall work with Macon Middle School to provide quality education for all children and shall seek to participate in the decision-making process establishing school policy, recognizing that the legal responsibilities to make decisions has been delegated by the people to the Macon County board of Education. 5. The organization may cooperate with other organizations and agencies concerned with child welfare, but persons representing the organization in such matters shall make no commitments that bind the organization. 6. No such part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, directors, trustees, officers or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article 3 hereof.
8. Upon the dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to one or more nonprofit funds, foundations or organizations which leave established their tax exempt status under Statue 501 (c)(3) of the Internal Revenue Code.
Section A: Membership in the PTO shall be made available to any individual who subscribes to the Objects and the basic policies of the organization, without regard to race, color, creed, or national origin, under such rules and regulations not in conflict with the provisions of these bylaws. Section B: The organization shall conduct an annual enrollment of members, but persons may be admitted to membership at any time.
Section A: Each officer of this PTO shall be a member of this PTO. Section B: The officers of this organization shall consist of a president
and a vice-president or two co-presidents, a secretary and/or a treasurer. Section C: There shall be a nominating committee composed of parents of 8th grade students. At the first committee meeting, the committee members shall elect their own chairperson from within their membership. The nominating committee shall nominate one person for each office to be filled and report its nominees at the election meeting at which time additional nominations may be made from the floor. In order to be nominated, a person must be a member of the organization and have given prior consent to serve. Executive officers shall have served at least one year on the board. This shall be at board's discretion. Section D: Vacancies: A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the board, notice of such election having been given to all organization members or having been announced at a regular or special meeting of the organization members.
Section A: The president shall preside at all meetings of the organization. He/She shall perform such other duties as may be prescribed in these bylaws or assigned to him/her by the organization, and shall coordinate the work of the offices and committees of the organization in order that the Objects may be promoted. Section B: The vice-president shall act as aide to the president and shall perform the duties of the president in the absence or disability of that officer to act; shall perform such other duties as may be prescribed in these bylaws or assigned to him or her by the organization. Section C: The secretary shall record the minutes of all meetings of the organization and shall perform such other duties as may be delegated. Section D: The treasurer shall have custody of all the funds of the organization; shall keep a full and accurate account of receipts and expenditures; and shall promptly make disbursements in accordance with the approved budget, as authorized by the organization. Two executive officers' signatures should be on file at the bank. For expenditures over $250.00, two signatures will be required on the check. The treasurer shall present a financial statement at every meeting of the organization and at other times when requested. Section E: All officers shall:
Section A: Regular meetings of the organization shall be held at least six (6) times during the school year, unless otherwise provided by the organization. Section B: Special meetings may be called with at least two (2) days notice having been given. Section C: Six (6) members shall constitute a quorum for the transaction of business in any meeting of this organization. If six members are not present, a call (via phone) vote will be taken.
Section A: The PTO may create such standing committees as it may deem necessary to promote the Objects and carry on the work of the organization. Section B: The chairman of each standing committee shall present a plan of work for approval. No committee work shall be undertaken without the consent of the Advisory Board. Section C: The power to form special committees and appoint their members rests with the organization.
The fiscal year of the organization shall begin on July 1 and end on the following June 30.
The rules contained in the current edition of Robert's Rules of Order Revised shall govern the organization in all cases in which they are applicable in which they are not in conflict with these bylaws, or the nonprofit corporation act under which the organization may be incorporated.
These bylaws may be amended at any regular meeting of the organization by a two-thirds vote of the members present and voting. |
